1. Parties

These Terms of Service ("Terms") govern your use of CLK.AM services operated by O2 Consulting Services & Investment (O2CS&I), a French SASU registered under SIRET 797 575 339, RCS Paris ("CLK.AM", "we", "us").

By creating an account or using any CLK.AM service, you agree to these Terms.

CLK.AM services are intended exclusively for business professionals (B2B). By creating an account, you confirm that you are acting in a professional capacity and not as a consumer within the meaning of EU consumer protection law.

Document hierarchy

In case of conflict between CLK.AM legal documents, the following order of precedence applies:

  1. Data Processing Agreement (DPA), if signed
  2. These Terms of Service (ToS) — authoritative language: English
  3. Conditions Generales de Vente (CGV) — authoritative language: French (applicable for billing and French commercial law)
  4. Privacy Policy
  5. Pricing page (informational, does not override contractual terms)

2. Services

CLK.AM provides the following services:

IP Tool Public IP lookup API (ip.clk.am) — free, no account required
Uptime Endpoint monitoring (uptime.clk.am) — free

3. Account Registration

  • You must provide accurate information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You must be at least 16 years old to create an account
  • One person or legal entity per free account (no free tier abuse)

4. Free and Paid Plans

Free tier

  • Subject to usage limits as described on our pricing page
  • We reserve the right to modify free tier limits with 30 days notice
  • Free accounts inactive for 12 months may be deleted with 30 days notice

Paid plans

  • Billed monthly or annually via Stripe
  • Prices are in USD, exclusive of applicable taxes (VAT)
  • You can upgrade, downgrade, or cancel at any time
  • Downgrades take effect at the end of the current billing period
  • Cancellations take effect at the end of the current billing period — no mid-cycle refunds
  • We reserve the right to change pricing with 30 days notice. Existing subscriptions are honored until their next renewal

Overages

  • If you exceed your plan limits, we will notify you and provide a grace period to upgrade
  • We will not immediately cut off service or delete data for brief overages
  • Sustained overages (>14 days) may result in automatic upgrade to the next tier or service throttling

5. Acceptable Use

You agree NOT to use CLK.AM services to:

Prohibited content

  • Distribute malware, phishing pages, or deceptive content via short links
  • Create links to illegal content (child exploitation material, terrorism, illegal trade)
  • Impersonate other entities via link slugs or branded domains
  • Distribute spam via short links

Prohibited data

  • Send personal data (names, emails, user IDs, IP addresses) in custom event names or properties
  • Use CLK.AM Analytics or Links to collect or process special category data (health, biometric, political opinions) as defined by GDPR Art. 9

Prohibited behavior

  • Attempt to circumvent rate limits, usage quotas, or security measures
  • Use automated systems to create accounts, links, or API requests beyond normal usage
  • Reverse engineer, decompile, or attempt to extract source code (except as permitted by AGPL license for open-source components)
  • Use the service to conduct attacks (DDoS, credential stuffing, vulnerability scanning against third parties)
  • Resell or redistribute CLK.AM services without written agreement

Link safety

  • CLK.AM reserves the right to disable links that point to malware, phishing, or illegal content
  • CLK.AM may scan link destinations for safety (automated, not human review)
  • Flagged links may be disabled immediately without prior notice

Consequences

Violation of acceptable use policies may result in:

  1. Warning via email
  2. Temporary suspension of the offending resource
  3. Account termination (for severe or repeated violations)

We aim to resolve issues through communication first. Immediate termination without warning is reserved for severe cases (malware distribution, illegal content).

6. Data and Privacy

  • Our Privacy Policy describes how we handle data
  • For paid plans where we process data on your behalf, our Data Processing Agreement applies
  • You are the data controller for data collected via your use of Analytics and Links
  • We are the data processor

Data ownership

  • Your data (analytics events, link click data, account information): you own it. You can export it at any time via dashboard export or API
  • Our data (aggregated, anonymized statistics about service usage): we own it
  • Upon account deletion, your data is permanently deleted within 30 days

7. Intellectual Property

Our IP

  • CLK.AM trademarks, logos, and branding are our property
  • The CLK.AM service (cloud infrastructure, proprietary features) is our property
  • Open-source components are licensed under their respective licenses (AGPL-3.0, Apache-2.0, MIT — see each repository)

Your IP

  • Content you create (links, dashboard configurations, custom domains) remains yours
  • We claim no ownership over your data or content

Open source

  • The CLK.AM Analytics core is available under AGPL-3.0
  • The CLK.AM SDK is available under Apache-2.0
  • The CLK.AM IP Tool is available under MIT
  • Enterprise features (SSO, SCIM, audit log) are proprietary

8. Service Level

Availability

  • We target 99.9% uptime for paid plans
  • Free tier: best effort, no SLA
  • Planned maintenance will be announced 48 hours in advance when possible

No warranty

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability is limited to the amount you paid us in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for loss of data, revenue, or business opportunities
  • We are not liable for actions of third parties (Cloudflare outages, Stripe payment failures, etc.)

10. Termination

By you

  • You may cancel your account at any time from your account settings
  • Upon cancellation, paid features are available until the end of the billing period
  • After the billing period ends, your account reverts to the free tier
  • You may request full account deletion at any time (data deleted within 30 days)

By us

  • We may terminate your account for violation of these Terms (see Section 5)
  • We may terminate the service entirely with 90 days notice and pro-rata refund of prepaid amounts
  • In case of account termination by us, you will have 30 days to export your data

11. Governing Law

These Terms are governed by the laws of France. Any disputes will be submitted to the competent courts of France.

For EU consumers: you retain any mandatory consumer protection rights under the laws of your country of residence.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be:

  • Announced via email to account holders at least 30 days before taking effect
  • Posted on this page with an updated "Last updated" date

Continued use of the service after changes take effect constitutes acceptance.
